John N. Fleming

John tackles corporate, business and health care law with a concentration on formation, contract review and drafting, employment agreement review and drafting, mergers, sales, acquisitions, shareholder agreements, and adding or buying out shareholders. He assists various sizes of businesses in a range of areas from manufacturing and high tech to physician and dental practices, including hospitals, foreign corporations, nonprofits and resorts. His clients include Samson Corporation, Deerfield Episcopal Retirement Community, STF Precision, Aeroflow, Sisters of Mercy, Sanesco International, and Beech Mountain Resort. John joined McGuire, Wood & Bissette in 1995 after working with the law firm of Alston & Bird, based in Atlanta, Georgia, since 1987. He’s built a reputation for speaking on community development topics.

Client Successes

  • Negotiated the sale of Unicoi County Memorial Hospital to Mountain States Health Alliance
  • Represented parties in the $100M merger of St. Joseph’s and Memorial Mission hospitals, the two largest health care and medical providers in Western North Carolina
  • Handled the merger of Handi-Skills, Inc., with Goodwill Industries of North Carolina
  • Negotiated various business and governmental relationships to allow for the development of the public-private partnership that oversaw the renovation of the Grove Arcade Public Market
  • Represented Sanesco International in the development of their National Sales Distribution Agreements
  • Organized various non-profit and tax-exempt organizations, such as Western Carolina Angels Baseball and Camp Cedar Cliff
